A medium-term note (MTN) is a debt security, often issued under a standing note program, that allows an issuer to sell notes with flexible maturities, coupons, currencies, call features, and other terms. Despite the name, an MTN’s actual maturity range is set by the program documents and pricing supplement, not by the phrase medium-term alone.
An issuer may maintain an MTN program so it can issue notes from time to time without creating an entirely new standalone bond document for each small offering. Each issuance normally has its own final terms. Those terms can differ even when the notes are issued under the same program.

For issuers, MTN programs can provide flexible access to debt markets. For investors and analysts, MTNs require careful document review because the economic exposure can be customized. A plain fixed-rate MTN may resemble a conventional bond, while a structured MTN can embed derivative exposure that is harder to value or exit.
MTNs are educationally important because they show why fixed-income labels are not enough. The final terms can change cash-flow timing, payoff shape, credit exposure, liquidity, tax reporting, and portfolio risk.

The pricing supplement does not make the other documents irrelevant. It should be read with the documents it incorporates, and it commonly controls where it expressly changes a more general term. The exact hierarchy depends on the offering documents and jurisdiction.
Suppose an issuer sells a $25 million MTN tranche under an existing program. The pricing supplement states:
An investor buying $10,000 face amount receives $10,000 x 5.10% / 2 = $255 each six months while the note remains outstanding.
If the note remains outstanding for four years, the contractual schedule has eight $255 coupons, totaling $2,040, plus $10,000 principal at maturity. If the issuer calls it at par after two years, the schedule ends after four coupons, totaling $1,020, plus the $10,000 call payment.
Both outcomes come from the same note. The final maturity alone does not reveal expected life, and the 5.10% coupon does not show reinvestment risk after an early call. An investor should compare yield to call and yield to worst, then verify the call notice and settlement mechanics in the controlling documents.
For a structured MTN, the analysis can be more complex because maturity value may depend on an index, reference asset, barrier, cap, or formula rather than an unconditional return of full principal.
